General scope
The below Terms and Conditions of sale (the “Terms and Conditions”) apply to the sale conducted by Import Export Galeria Sp. z o.o. (referred to as “Seller” or “Gallery”) to a physical person or a legal entity (referred to as “Buyer”) of one or more artworks (the “Artwork(s)”) by any of the Gallery’s artist (referred to as “Artist”) either at the Gallery’s physical premises or by means of distance sale or off-premises sale (the “Sale”) conducted by any of the Gallery’s representatives (in particular its employees, principals and/or board members).The Seller and the Buyer are collectively referred to as the parties (“Parties”), and individually referred to as a party (“Party”).
The Buyer shall read and understand these Terms and Conditions before proceeding with the purchase of the Artwork(s). If there is any term that the Buyer(s) does not understand or does not wish to comply with, they shall discuss it with the Gallery’ representatives.
The Terms and Conditions set forth the rights and obligations of the Buyer and the Seller. They apply automatically and without limitations to the sale of Artwork(s) by the Seller to the Buyer and are considered to have been accepted by the Buyer upon acceptance of these Terms and Conditions.
The Buyer and the Seller agree to be bound by the Terms and Conditions.
The Sale Process
The Seller agrees to sell the Artwork to the Buyer, and the Buyer agrees to buy the Artwork from the Seller, subject to the Terms and Conditions set forth hereinafter.
The Seller confirms that it is the sole legal and beneficial owner of the Artwork(s) and holds the unrestricted right to possession of the Artwork(s) and/or is legally authorised to sell the Artwork(s) by the sole legal and beneficial owner with unrestricted right to its possession.
The Seller will issue an invoice for the sale of the Artwork to the Buyer. The invoice will indicate the sale price of the Artwork as well as stipulate the Artwork(s) tax status.
The Price
These Terms and Conditions define all terms of agreement other than price between the Buyer and the Seller, in relation to the sale of the Artwork identified in the Invoice(s).
The Buyer agrees to pay to the Seller the price and any other cost as stipulated on the Invoice (the “Price”).
Statements regarding the Artwork(s)
The Gallery furnishes the Buyer with all information and/or documents in its possession relating to the information about the appearance, authenticity, attribution, description, provenance, condition and tax status of the Artwork(s). All such information provided by the Gallery is true and accurate to the best of knowledge of its employees, principals and board members.
Taxes and duties resulting of the Sale
Unless indicated otherwise on the Invoice, the sale price is exclusive of any value or sale taxes and/or duties that may apply, all of which are the responsibility of the Buyer.
The Buyer shall be responsible for any taxes and/or duties arising from acquiring the Artwork(s) and its subsequent delivery to the appointed address indicated at the time and point of sale.
Unless indicated otherwise on the Invoice, any packing and/or shipping charges, insurance costs, and/or bank fees are the responsibility of the buyer and are not included in the sales price.
Payment
Unless agreed otherwise between the Seller and the Buyer, Payment is to be made in the currency indicated on the Invoice. Payment is to be received in its full amount, without deduction resulting from any bank transfer or currency exchange fees.
The Buyer shall pay the Price to the Seller to the bank account indicated on the Invoice or (if applicable) through Stripe payment system enabled for the purpose of the transaction in the Seller's online store. More information about Stripe here.
Title to the Artwork(s)
Title to the Artwork(s) will pass only after the payment has been made in full.
Risk of loss and/or damage
Risk of loss or damage to the Artwork will pass to the Buyer upon the delivery of the Artwork(s).
Delivery of the Artwork(s)
Unless agreed otherwise, delivery is conducted through the Seller’s appointed carrier. Unless otherwise specified, the delivery of the Artwork(s) shall be within 30 days from the date of the Payment. This delivery time frame is exclusive of any delays related to and/or resulting from the custom clearance process on the Buyer’s side.
The Buyer agrees to pay all third-party costs and expenses relating, among other, to the packing, transporting, shipping, customs duties, taxes, royalties, and insuring of the Artwork(s) should they choose their own carrier.
Intellectual Property and Usage
The Artist remains an owner of the intellectual and moral rights on their Artwork(s). Only the title to the physical Artwork (ownership of the work of art) is being transferred to the Buyer, and the Artist reserves and retains all copyrights in relation to the Artwork and all reproduction rights in the Artwork for any purpose in all media. The Artist’s authorisation is required to make use of these rights.
Data protection
The Seller may collect, maintain and use digital and physical records of personally identifiable information obtained from the Buyer in the course of the sale process.
Should the Buyer wish to learn about the privacy policy of the Seller, they may visit the website of the Gallery for the available privacy policy.
Confidentiality
The Parties acknowledge that the conditions and subject of the Sale, including but not limited to the identity of the Buyer, the Artwork and the Price, are deemed confidential. The Parties agree not to disclose any of the information regarding the sale transaction to any person or party, except as may be required by law or necessary to the execution of the sale transaction and delivery of the Artwork(s).
Sale Rescission
The Seller reserves the right to terminate this contract and rescind the Sale where there is a material breach of the contractual obligations (in particular if the Buyer fails to make any payment pursuant to the Invoice and/or these Terms and Conditions). If such breach of contract is not remedied within seven (7) days from a written notice sent by the Seller to the Buyer, the Sale is deemed invalid.
Right of Withdrawal:
The Buyer may be considered as a consumer according to EU Directive 2011/83/EU of the European Parliament and of the Council of 25 October 2011 on consumer rights (the “Consumer”) (the “Directive”). The Sale may be concluded between the Seller and the Consumer under a distance or off-premises according to the Directive.
If the Buyer is a Consumer and if the Sale is conducted through distance or off-premises, according to the Directive or any applicable local legislation, the Consumer has a right to withdraw, after 14 (fourteen) days from the conclusion of the Sale. In the case of distance or off-premises sales, the withdrawal period should end after 14 (fourteen) days from the day on which the Consumer or a third party other than the carrier went into physical possession of the Artwork(s).
For the purpose of exercising the right to withdraw from the Sale, the Consumer must inform the Seller about its intention to withdraw by means of a written notice. Notice of withdrawal is a completed withdrawal form (provided attached to these Terms and Conditions) with a clear statement of intent and an Artwork identification number. A completed withdrawal form is to be delivered to the Seller by email to contact@importexport.art .
The Consumer will return the Artwork within 14 (fourteen) days from delivering the withdrawal form to the Seller.
The Seller will reimburse the Consumer upon receipt of the returned Artwork for all sums paid for his order, after deduction of any return costs, which remain the responsibility of the Consumer.
The Consumer will be responsible for depreciation in value of Artwork resulting from handling the Artwork in a manner that is inconsistent with the nature and features of the items, including their functionality.
Buyer, other than Consumer, cannot cancel the Sale. Thus, once purchased, the Buyer may not return the Artwork and the Seller is not obliged to offer refunds.
The right to withdraw from the Sale does not apply if the subject of the Sale is a non-refabricated item produced according to consumer specifications or serving to meet his individual needs.
Complaint
The Seller informs that he is obliged to deliver the subject of Sale the order free of defects.
Complaints can be made in writing to the address of the Seller a or by e-mail to the following e-mail address: contact@importexport.art or in any other way.
The complaint should contain the Buyer's data, designation of the order (i.e. data allowing to identify it) and a description of the event giving rise to the complaint.
Complaints are processed within 14 days of their receipt by the Seller.
Buyer’s statement
The Buyer confirms that it complies with all applicable laws and regulations; it is his own responsibility to comply with the applicable legislation and tax obligations; it has the capacity and power (under the applicable laws of its country of origin) to enter into a legally binding contract and perform the transaction between the Seller and the Buyer.
Governing laws and jurisdiction
These Terms and Conditions and any contractual obligation arising out of the Sale and the related Invoice shall be governed by the laws of the Republic of Poland. Any dispute arising from or in connection to these Terms and Conditions and the Invoice related to the Sale shall be subject to the exclusive jurisdiction of the courts of the Republic of Poland.

Zakres ogólny
Poniższy regulamin ("Regulamin") ma zastosowanie do sprzedaży prowadzonej przez Import Export Galeria Sp. z o.o. (zwaną dalej "Sprzedającym" lub "Galerią") na rzecz osoby fizycznej lub prawnej (zwanej dalej "Kupującym") jednego lub więcej dzieła sztuki ("Dzieło(a) sztuki") autorstwa któregokolwiek z artystów Galerii (zwanego dalej "Artystą") w siedzibie Galerii lub w drodze sprzedaży na odległość lub sprzedaży poza lokalem przedsiębiorstwa ("Sprzedaż") prowadzonej przez któregokolwiek z przedstawicieli Galerii (w szczególności jej pracowników, dyrektorów i/lub członków zarządu). Sprzedawca i Kupujący zwani są łącznie stronami ("Strony"), a pojedynczo - stroną ("Strona").
Kupujący powinien przeczytać i zrozumieć niniejszy Regulamin przed przystąpieniem do zakupu Dzieła (Dzieł) Sztuki. Jeżeli którykolwiek z jego warunków jest niezrozumiały lub nie chce się do niego zastosować, powinien omówić go z przedstawicielami Galerii.
Niniejszy Regulamin określa prawa i obowiązki Kupującego i Sprzedającego. Stosuje się je automatycznie i bez ograniczeń do sprzedaży Dzieł(a) Sztuki przez Sprzedającego na rzecz Kupującego i uważa się je za zaakceptowane przez Kupującego po akceptacji Regulaminu.
Kupujący i Sprzedający zgadzają się na przestrzeganie niniejszych Warunków.
Proces sprzedaży
Sprzedający zobowiązuje się sprzedać Dzieło (a) sztuki Kupującemu, a Kupujący zobowiązuje się kupić Dzieło sztuki od Sprzedającego, na warunkach określonych w Regulaminie.
Sprzedający potwierdza, że jest jedynym prawnym i faktycznym właścicielem Dzieła (Dzieł) sztuki i posiada nieograniczone prawo do posiadania Dzieła (Dzieł) sztuki i/lub jest prawnie upoważniony do sprzedaży Dzieła (Dzieł) sztuki przez jedynego prawnego i faktycznego właściciela posiadającego nieograniczone prawo do jego posiadania.
Sprzedający wystawi Kupującemu fakturę za sprzedaż Dzieła (Dzieł) sztuki. Faktura będzie zawierała cenę sprzedaży Dzieł(a) Sztuki wraz z określeniem właściwego dziełu statusu podatkowego.
Cena
Niniejszy Regulamin określa wszystkie warunki umowy, poza ceną, pomiędzy Kupującym a Sprzedającym, dotyczące sprzedaży Dzieł(a) Sztuki określonych na Fakturze(-ach).
Kupujący zobowiązuje się zapłacić Sprzedającemu cenę i wszelkie inne koszty określone na fakturze ("Cena").
Oświadczenia dotyczące Dzieł (a) sztuki
Galeria udostępnia Kupującemu wszelkie informacje i/lub dokumenty będące w jej posiadaniu, dotyczące informacji o wyglądzie, autentyczności, atrybucji, opisie, pochodzeniu, stanie i statusie podatkowym Dzieł Sztuki. Wszystkie takie informacje dostarczone przez Galerię są prawdziwe i dokładne, zgodnie z najlepszą wiedzą jej pracowników, dyrektorów i członków zarządu.
Podatki i cła wynikające ze sprzedaży
Kupujący jest odpowiedzialny za wszelkie podatki i/lub opłaty wynikające z nabycia Dzieł(a) Sztuki i jego (ich) późniejszej dostawy na adres wskazany w momencie i w punkcie sprzedaży.
Jeśli na fakturze nie zaznaczono inaczej, wszelkie opłaty za opakowanie i/lub wysyłkę, koszty ubezpieczenia i/lub opłaty bankowe ponosi kupujący i nie są one wliczone w cenę sprzedaży.
Płatność
O ile Sprzedający i Kupujący nie uzgodnią inaczej, Płatność ma być dokonywana w walucie wskazanej na Fakturze. Zapłata ma być otrzymana w pełnej wysokości, bez potrąceń wynikających z jakichkolwiek opłat za przelewy bankowe lub wymianę walut.
Kupujący dokonuje zapłaty Ceny na rzecz Sprzedającego na rachunek bankowy wskazany na Fakturze przelewem bankowym lub (jeśli dotyczy) poprzez system płatności Stripe udostępniony pod kątem danej transakcji w internetowym sklepie Sprzedającego. Więcej informacji o systemie Stripe tutaj.
Tytuł prawny do Dzieł(a) sztuki
Tytuł prawny Dzieł(a) sztuki przechodzi dopiero po dokonaniu pełnej płatności.
Ryzyko utraty i/lub uszkodzenia
Ryzyko utraty lub uszkodzenia Dzieł(a) sztuki przechodzi na Kupującego z chwilą dostarczenia Dzieł (a) sztuki.
Dostawa Dzieł(a) sztuki
O ile nie uzgodniono inaczej, dostawa odbywa się za pośrednictwem przewoźnika wyznaczonego przez Sprzedającego. O ile nie ustalono inaczej, dostawa Dzieła(eł) Sztuki nastąpi w ciągu 30 dni od daty zapłat. Ten termin dostawy nie uwzględnia opóźnień związanych z i/lub wynikających z odprawy celnej po stronie Kupującego.
Kupujący zobowiązuje się pokryć wszelkie koszty i wydatki osób trzecich związane m.in. z pakowaniem, transportem, wysyłką, opłatami celnymi, podatkami, opłatami licencyjnymi i ubezpieczeniem Dzieł(a) Sztuki, jeśli wybierze własnego przewoźnika.
Własność intelektualna
Artysta pozostaje właścicielem praw autorskich do swojego Dzieł(a) sztuki. Jedynie tytuł prawny do fizycznego Dzieł(a) sztuki jest przenoszony na Kupującego, a Artysta zastrzega i zachowuje wszelkie prawa autorskie w odniesieniu do Dzieł(a) sztuki oraz wszelkie prawa do reprodukcji Dzieła sztuki w dowolnym celu i we wszystkich mediach. Do korzystania z tych praw wymagana jest zgoda Artysty.
Ochrona danych
Sprzedający może gromadzić, utrzymywać i wykorzystywać cyfrowe i fizyczne zapisy danych osobowych, które uzyskał od Kupującego w trakcie procesu sprzedaży.
Jeżeli Kupujący chce zapoznać się z polityką prywatności Sprzedającego może odwiedzić stronę internetową Galerii, aby zapoznać się z dostępną polityką prywatności.
Poufność
Strony przyjmują do wiadomości, że warunki i przedmiot Sprzedaży, w tym, między innymi, tożsamość Kupującego, Dzieło Sztuki i Cena, są uważane za poufne. Strony zobowiązują się nie ujawniać żadnych informacji dotyczących transakcji sprzedaży jakimkolwiek osobom lub podmiotom, z wyjątkiem sytuacji, gdy będzie to wymagane przez prawo lub niezbędne do realizacji transakcji sprzedaży i dostawy Dzieł(a) Sztuki.
Odstąpienie od umowy sprzedaży
Sprzedający zastrzega sobie prawo do rozwiązania niniejszej umowy i unieważnienia Sprzedaży w przypadku istotnego naruszenia zobowiązań umownych (w szczególności w przypadku niedokonania przez Kupującego jakiejkolwiek płatności zgodnie z Fakturą i/lub niniejszym Regulaminem). Jeśli takie naruszenie umowy nie zostanie naprawione w ciągu siedmiu (7) dni od pisemnego zawiadomienia wysłanego przez Sprzedającego do Kupującego, Sprzedaż uznaje się za nieważną.
Prawo do odstąpienia od umowy:
Kupujący może być uznany za konsumenta zgodnie z Dyrektywą Parlamentu Europejskiego i Rady UE 2011/83/UE z dnia 25 października 2011 r. w sprawie praw konsumentów ("Konsument") ("Dyrektywa"). Sprzedaż może zostać zawarta pomiędzy Sprzedającym a Konsumentem w ramach sprzedaży na odległość lub sprzedaży poza lokalem przedsiębiorstwa zgodnie z Dyrektywą.
Jeżeli Nabywca jest Konsumentem i jeżeli Sprzedaż została zawarta na podstawie umowy zawieranej na odległość lub umowy zawieranej poza lokalem przedsiębiorstwa, zgodnie z Dyrektywą lub wszelkimi mającymi zastosowanie przepisami lokalnymi, Konsument ma prawo do odstąpienia od umowy po upływie 14 (czternastu) dni od zawarcia Sprzedaży. W przypadku umów zawieranych na odległość lub poza lokalem przedsiębiorstwa, termin odstąpienia od umowy powinien upłynąć po 14 (czternastu) dniach od dnia, w którym Konsument lub osoba trzecia inna niż przewoźnik wejdzie w fizyczne posiadanie Dzieł(a) sztuki.
Aby skorzystać z prawa do odstąpienia od umowy sprzedaży, Konsument musi poinformować Sprzedającego o zamiarze odstąpienia od umowy w formie pisemnego oświadczenia. Informację o odstąpieniu od umowy stanowi wypełniony formularz odstąpienia od umowy (stanowiący załącznik do niniejszego Regulaminu) zawierający wyraźne oświadczenie woli oraz numer identyfikacyjny Dzieła(a) Sztuki. Wypełniony formularz odstąpienia od umowy należy dostarczyć Sprzedającego pocztą elektroniczną na adres contact@importexport.art .
Konsument zwróci Dzieł0 (a) sztuki w terminie 14 (czternastu) dni od dnia doręczenia Sprzedającego formularza odstąpienia od umowy.
Sprzedający zwróci Konsumentowi przy odbiorze zwróconego Dzieł(a) sztuki wszystkie kwoty zapłacone za jego zamówienie, po odliczeniu ewentualnych kosztów zwrotu, które pozostają w całości w gestii Konsumenta.
Konsument ponosi odpowiedzialność wyłącznie za zmniejszenie wartości Dzieł(a) Sztuki wynikające z obchodzenia się z nimi w sposób niezgodny z naturą i charakterem przedmiotów, w tym ich funkcjonalnością.
Kupujący, inny niż Konsument, nie może anulować Sprzedaży. W związku z tym, po dokonaniu zakupu, Kupujący nie może zwrócić Dzieł(a) Sztuki, a Sprzedający nie oferuje zwrotów.
Prawo odstąpienia od umowy nie przysługuje, jeżeli przedmiotem umowy jest rzecz nieprefabrykowana, wyprodukowana według specyfikacji Konsumenta lub służąca zaspokojeniu jego zindywidualizowanych potrzeb.
Reklamacja
Sprzedający informuje, że ma obowiązek dostarczyć przedmiot zamówienia wolny od wad.
Reklamacje można składać pisemnie na adres Sprzedającego lub mailowo na następujący adres e-mail: contact@importexport.art, bądź w inny sposób.
W reklamacji należy podać dane Kupującego, oznaczenie zamówienia (tj. dane pozwalające je zidentyfikować) oraz opis zdarzenia będącego podstawą reklamacji.
Reklamacje są rozpatrywane w ciągu 14 dni od daty ich otrzymania przez Sprzedającego.
Oświadczenie Kupującego
potwierdza, że przestrzega wszystkich obowiązujących przepisów prawa i regulacji; ponosi własną odpowiedzialność za przestrzeganie obowiązujących przepisów i zobowiązań podatkowych; posiada zdolność i uprawnienia (zgodnie z obowiązującymi przepisami kraju pochodzenia) do zawarcia prawnie wiążącej umowy i realizacji transakcji pomiędzy Sprzedającym a Kupującym.
Prawo właściwe i jurysdykcja
Niniejszy Regulamin oraz wszelkie zobowiązania umowne wynikające ze Sprzedaży i związanej z nią Faktury podlegają prawu Rzeczypospolitej Polskiej. Wszelkie spory wynikające z lub związane z niniejszym Regulaminem oraz Fakturą dotyczącą Sprzedaży będą podlegać wyłącznej jurysdykcji sądów Rzeczypospolitej Polskiej.
